Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Rele Esi website and your engagement with our services. By accessing our website or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our website or engage our services. These Terms apply to all visitors, clients, and any other persons who access or use our services.

Our Services

Rele Esi provides engineering and digital solutions, including but not limited to:

• Maintenance engineering consulting and support
• Custom masonry stove design and development
• UI design and software development (including Excel-VBA solutions)
• ICT network and infrastructure setup and support
• Home and building automation solutions
• Tailored digital tools and operational dashboards

The specific scope, deliverables, timelines, and pricing for each engagement will be agreed upon in writing prior to commencement of work.

Client Engagements

All service engagements with Rele Esi are subject to the following conditions:

• Scope of Work: Each project will be defined by a mutually agreed scope of work. Changes to the scope may affect timelines and costs and must be agreed upon in writing.
• Client Responsibilities: Clients are expected to provide accurate information, timely feedback, and reasonable access to facilities or systems necessary for the completion of services.
• Timelines: Estimated timelines are provided in good faith. Delays caused by factors outside our control, including client-side delays, will not constitute a breach by Rele Esi.
• Warranties: We warrant that services will be performed with reasonable skill and care, consistent with industry standards. We do not guarantee specific outcomes beyond what is outlined in an agreed scope.

Intellectual Property

Unless expressly agreed otherwise in writing:

• All intellectual property (including designs, code, documentation, and methodologies) developed by Rele Esi prior to or independently of a client engagement remains the sole property of Rele Esi.
• Upon full payment, clients receive a licence to use the deliverables for the purposes outlined in the agreed scope of work.
• Client-provided materials (data, branding, content) remain the property of the client, and the client warrants that they have the right to provide such materials.

All content on the Rele Esi website — including text, graphics, and design — is protected by copyright and may not be reproduced without prior written consent.

Confidentiality

Rele Esi treats all client information with the utmost confidentiality. We will not disclose proprietary business information, technical data, or project details to third parties without your consent, except where required by law.

Similarly, clients agree to keep confidential any proprietary methodologies, pricing, or technical approaches disclosed by Rele Esi in the course of an engagement.

This confidentiality obligation survives the termination of any service agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Rele Esi shall not be liable for:

• Indirect, incidental, or consequential losses arising from use of our services
• Loss of data, revenue, or business opportunities
• Damage resulting from client misuse of delivered solutions
• Delays or failures caused by circumstances beyond our reasonable control (force majeure)

Our total liability in connection with any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under South African law.

Payment Terms

Payment terms will be specified in each project proposal or service agreement. General principles include:

• Invoices are due within the period stated on the invoice (typically 30 days from date of issue)
• A deposit may be required before commencement of work, as agreed per project
• Late payments may attract interest at the applicable statutory rate
• Rele Esi reserves the right to suspend services where payment is overdue
• All prices are quoted in South African Rand (ZAR) and exclude VAT unless stated otherwise

Termination

Either party may terminate a service agreement by providing written notice as specified in the project agreement. In the event of termination:

• The client remains liable for payment of work completed up to the termination date
• Rele Esi will deliver all completed work and work-in-progress upon receipt of outstanding payment
• Where Rele Esi terminates due to client breach, no refund of deposits shall be due

Rele Esi reserves the right to terminate any engagement immediately in the event of a material breach by the client, including non-payment or provision of fraudulent information.

Disputes & Governing Law

These Terms are governed by the laws of the Republic of South Africa. In the event of any dispute arising from these Terms or any service engagement, the parties agree to first attempt resolution through good-faith negotiation.

If a dispute cannot be resolved informally within 30 days, the parties may refer the matter to mediation before commencing formal legal proceedings. The courts of South Africa shall have exclusive jurisdiction over any unresolved disputes.

Changes to These Terms

Rele Esi reserves the right to update these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

For ongoing client engagements, the Terms in effect at the time of the original agreement shall apply unless both parties agree in writing to amended terms.
